| Common requirement agreement: For medium to large projects and research, a telephone or onsite meeting is held with the client to agree the specification and requirements. Note that for low cost work onsite meetings might not be possible. In some cases, a simple proposal with a quotation may be enough. Estimate Provided: Our estimate of the costs, relies upon the needs, constraints, the requirements listed and the available information. Though we do our best to stay within the limits of our estimate, new requirements or information may appear that would lead to a modification of our estimate. In case of such modification, we will held a meeting with the client to discuss the situation and to agree the new conditions. Client approval for work to begin: The client accepts the estimate, approves the work and is invoiced for 33% to 50% of the estimated costs, VAT included for Europe. (For services and products sold online and prepaid, see below "Products and services sold online".) Provision of Material and Content: The client will provide all agreed written material, information and images before the Work Step that requires it. If the material, content, answer to questions is not provided, the work process might have to stop. In this situation, the client shall remain liable for the work that has taken place before to be stopped and shall be invoiced accordingly. Starting the project: Upon receipt of payment of the initial call for advance payment (or the payment of the price in case of online payment), ISKIV Ltd will start working on the project. As needed, if the project includes a Web site or a communication and exchange Web area, ISKIV Ltd will upload to a temporary space on the Internet the developing site, or the models or any other necessary component. This will allow the client to view the on-going work, to provide feedback at various steps and approve the work done. Contract: The client's approval for work to begin shall be deemed a contractual agreement between the client and ISKIV Ltd. Approval for the work to begin and payment of the advance payment indicates that the client accepts these terms and conditions. Completion of the project: When the project is completed, at the end of the pre-production stage for a Web project or on delivery of the final report for another project, the work done is submitted to the client for feedback or realistic modification request. As needed we do the modification requested. As far as a Web site is involved, once the client agrees that the site meets the requirements, the site will be released for final upload to the server. Advance payments : Advance payments are expected to be settled within 7 days of our invoice. If the advance payment has not been made, ISKIV Ltd will be entitled to stop the project completion until the advance payment has been received. (For services and products sold online and prepaid, see below "Products and services sold online".) Final invoice: The final invoice is issued by ISKIV Ltd, for consulting as soon as the final report has been delivered, for Website design design Web as soon as the final upload has been completed and the website launched for the public, for services and products as soon as the service or product has been delivered, except for services and products sold online that follow their own rules. Upon settlement of the final invoice, expected within the month following the date the invoice was issued, the client will continue to benefit of ISKIV's after-sale service for one year. If the final payment is not made, after two request for payment, ISKIV Ltd will be entitled to stop the delivery of its services or, for a Website , the hosting and maintenance of the the website. Services and products sold online and prepaid: For orders received online, we guarantee a successful conclusion and manage the payment as a client's account. This process makes it possible to guarantee the rights of the client, in conformity with our Terms and Conditions, untill the service or the product will have been delivered. Travel Time and Expenses: Travelling time to and from client's premises is not included in our estimate, except when precisely described. ISKIV Ltd reserves the right to charge for the travelling time, travel and subsistence fees at a normal consultancy rates for special work or training to be done at client's premises. Cancellation: Should the client wish to cancel at any time during the project process, the client shall remain liable for the work that has taken place before cancellation and shall be invoiced accordingly. Material: All material supplied by the client shall remain the client's property. It will be assumed that this material belongs to the client and that it does not breach any copyright laws. Copyright: Any material, including the contents and source code, created for the client by ISKIV Ltd remain the property of ISKIV Ltd. When a design is made for the client, it is agreed between the client and ISKIV Ltd that, once the invoice has been settled any design and content material becomes the shared property of ISKIV Ltd and the client, except for third party's rights, for instance on logos, scores, literary or film productions, and except for the right of the client only on its own creations, productions, programmes, workshops, etc. The source code remain the property of ISKIV Ltd, who agrees, once the final invoice has been settled, to grant a permanent user license to the client. | ||||
